Khaitan for Aircel, JSA for R-COM in complex telecom mega-merger with CAM, foreigns

“Anil Ambani-controlled Reliance Communications Ltd (R-Com) has signed a definitive agreement to merge its wireless business with smaller rival Aircel Ltd to create India’s third largest telecom operator by users,” reported Mint.

Aircel owner Maxis Communications and Reliance will each own 50 per cent in the merged company, which will continue to hold significant debt.

Khaitan & Co partners Haigreve Khaitan, Niren Patel and Mehul Shah acted for Aircel.Kirkland & Ellis was international counsel for Aircel.

J Sagar Associates (JSA) partner Sandeep Mehta acted for Reliance Communications, with partners Rajesh Pal, Manav Raheja, Nitin Kala, principal associate Malav Shah, senior associate Aarti Iyer, and associates Prannoy Semwal, Ashrafi Ginwala and Malini Rao.

Slaughter and May acted for Reliance Communication as international counsel.

Cyril Amarchand Mangaldas managing partner Cyril Shroff and partner Radhika Gaggar acted for Aircel’s indirect minority shareholders Sindya Securities & Investments Private Limited, which holds the minority stake in Aircel Limited through Deccan Digital Networks Private.

Hat-trick for Khaitan in mega deals - Cairn Vedanta (sole counsel), Grasim - Nuvo (sole counsel though CAM tried to get some share for deal count) and now this! LegallyIndia conveniently chose to not report Grasim - Nuvo! This together with Billion Dollar Fosun - Gland and some other large ones, Khaitan's deal values should increase multiple times

There would have been a time when CAM would be acting for the major players. Sad to see them acting for minority's ones!

Calm down. Sam azb khaitan luthra are all good. Perhaps all are no 1. Remember the story where 2 cats were.fighting and the monkey took their food away ? In the fight between the big firms - the smaller firms may walk away with the good deals with the foreign law firms. All the firms are good.

If that was the case where Khaitan and AZB are the best place to work at, why so many partners from Khaitan and AZB left to join SAM?

3 associates partners left of whom 1 rejoined Khaitan in 6 months. All three were made associate partners just before they moved to SAM. The Delhi partner who moved to SAM has already moved to CAM!

And more importantly, several LI readers were not ready to keep Khaitan in the same league as AMSS and AZB or for that matter even at same league or JSA, Luthra or Trilgeal a year back. Khaitan has emerged in this frothy market and how!

Those who keep challenging Khaitan's quality should also reconsider these false claims in light of Khaitan's loyal clientele and ever growing high end quality clients.
