Khaitan acqui-hires 2018 Chennai start-up Assentio with Kannan, Cherian, Gopalakrishnan

Khaitan & Co has bolted on the Chennai-based law firm Assentio Legal, which had been started by Thriyambak Kannan, Rohan Cherian and Renu Gopalakrishnan, who will join from 1 July with their team in Khaitan’s Chennai and Bengaluru offices.

The three are between 2004 to 2005 graduates, respectively from SLS Pune, Nalsar Hyderabad and Delhi University. They are joining as a total of 8 fee-earners, with two in Bengaluru and the rest in Chennai.

They had started Assentio in January 2018 after experience at firms including AZB & Partners, Trilegal and in two cases as independent practitioners or in chambers before joining hands to set up Assentio.

In 2018-19, the firm had, inter alia, acted for a number of clients in investments, particularly for i3 Systems, as captured in our league tables, as well as fantasy sports operator Nostragamus.

According to Khaitan’s press release:

Thriyambak specialises in corporate, commercial and civil litigation, advising on issues arising under the Insolvency and Bankruptcy Code and has also acted as a sole arbitrator in court appointed mandates.

Rohan’s expertise lies in general corporate and commercial advisory, mergers & acquisitions, private equity and venture capital, and transactional support across sectors.

Renu’s experience ranges from representing business houses on their inbound and outbound acquisition strategies, mining, trading and trade financing.

Khaitan senior partner Haigreve Khaitan said in a statement: “They [Assentio] bring in the right set of talent and values which makes them an ideal match for our presence in South India. Khaitan’s Chennai office will offer the gamut of typical corporate, investment and commercial work, real estate and disputes, according to Khaitan’s release.

Now this is called a merger. Kannan, Cherian and GK took their entire team unlike [...] and [...] (so called senior and managing partners) who jumped ship in such haste and desperateness that they signed on whatever terms/ cheap deal offered by High Retainer aka HR.

It will be interesting to know how such mergers/practice acquisition work. Would these guys get any upfront consideration/bonus or it is more like simply joining KCO as a partner.

Good to see KCO finally looking to get some talent inorganically. Their business decision to tap the bottom feeding mandates has resulted in their organic talent churning out documents by changing names in the precedent and gaining expertise only in drafting board resolutions. Can’t blame the counsels having to work on multiple deals on fixed fee mandates. This acquisition does increase their talent pool amongst partners. With the organic partners having entrenched themselves, maybe moving out of the city is the change in track that KCO desperately needs right now.

I cannot fully comprehend such comments. KCO is one of the top compensating law firms (more than most of the Big 5 -6 firms), including at campus level. Their high bonus is well known in the market. They always pay their bonus on 31 March, without any cute structures of paying in installments to defer cash flows. They are close to 750+ lawyers. Still keep reading comments on "bottom feeding mandates". If they are getting so less as legal fee, then where is the money coming from year on year for several years? Are they better at sharing earnings will all, unlike some other Indian law firms which keep earnings for family / top few?

@5.1 and 5.2 - I think he meant that they get their mandates by charging the lowest fees in the market. It's not the first time I've heard this - most other firms have this opinion and my team (at another tier 1) has lost on multiple deals because Kco has undercut. On the other hand, I've also been on several deals where KCO does the DD and they come to other Tier 1s for the transaction advisory. Cheap DD seems to be a big part of their client sourcing strategy.

Lol - as per this logic, it would require Khaitan has to have the most number of deals (it doesn’t, AZB or SAM do) due to their estimated high revenue considering the 500+ lawyers. Don’t go by hearsay - no firm in India I does only premium work, everyone undercuts in Tier 1 and it’s a client or deal specific dynamic.

Ps If fees were the only reason why clients come to a law firm, none of the big firms would have dominated the market. Fees quoted by tier 2/tier 3 firms are nothing compared to any tier 1. Huge difference.
