S&R Associates has made an unprecedented double lateral partner hire, getting J Sagar Associates (JSA) partners Divyanshu Pandey and Arpita Garg to staff its banking practice in Delhi with a team of three, according to a press release from the firm, after their move was first reported by Bar & Bench.

The two hires as partner, with Pandey to head up S&R’s banking and finance practice, in-part fills the hole left after the departure of long-time partner Uday Walia last year to erstwhile Platinum Partners Delhi (besides banking, Walia also did corporate, M&A, private equity and capital markets work).

Pandey and Garg are also joined by associates Rishabh Bhojwani, Prerna Sachdeva and Shashwat Bhaskar.

Pandey focuses on banking, finance and restructuring, including structured finance, cross-border lending transactions, hybrid debt financing, project finance, acquisition financing, real estate finance as well as restructuring, enforcement and insolvency matters, according to S&R.

He is a 2000 Delhi University LLB with a 2002 BCL from Oxford University.

Garg is a banking and finance specialist, who does restructuring, insolvency, structured finance, real estate and trade finance, bond issuances and project finance, and advises financial institutions and borrowers, according to S&R. She is a 2006 Symbiosis Pune graduate.

JSA joint managing partners Amit Kapur and Vivek Chandy commented: “Divyanshu Pandey one of our Equity partners based out of JSA’s Gurugram office has decided to resign from the firm, to pursue other opportunities. He will be leaving effective November 6, 2020. Divyanshu joined JSA after returning from a long stint in the UK and has been with us for more than a decade. During his long association with JSA, he has made valuable contributions to the Firm’s growth.

“The JSA family wishes Divyanshu the very best and hopes he find success in his future endeavours.”

Rarest of rare

In September, S&R had promoted Mumbai-based litigation counsel Shahezad Kazi to partner, in the only partner promotion at the firm this year. And while the firm has paid bonuses, it has also frozen increments as many other firms faced with the Covid economic fallout.

Much as with partner departures - Walia was only the second partner to ever leave the firm, after Bhakta Patnaik joined Trilegal in 2016 - lateral partner hires are even rarer at S&R.

In 2017, S&R had hired its first lateral partner, Viral Mehta, alongside Sanjeev Adlakha as a consultant (Adlakha has since also become a partner at the firm).

Things are changing at S&R...it always maintained that it had no teams and practice areas other than corporate and litigation...I guess specialized teams become necessary once you cross a certain size. Also, calling someone as heading a practice area within corporate appears to be new (litigation was always headed by Niti and competition by Simran). Remains to be seen if capital markets and M&A etc. will also get practice heads now.

Yes, its true. Other tier 1 firms pay around 15LPA. I heard that S&R pays around 16 LPA. Not sure about the bonus component in S&R

Haha no! The team that left is a diligence team that was sitting in Delhi. JSA's banking practice is primarily out of Mumbai with Dina and Aashit grabbing the lion's share of marquee deals. S&R will be denting nothing and no one with a backend processing team based out of Delhi

They pay around 16 lakhs p.a. as fixed pay. Bonus is discretionary. From last two years, A0s are getting 4 lakhs as bonus.

It is fair to assume that DP will be given a share in the equity pie in Okhla. What's the partnership structure at S&R like? Does everyone gets equity like Trilegal?

Or does it also have glorified PAs in the form of partners?

This one doesn't fully compute. S and R play at the premium end of the market and needed to add a banking practice that would sit well with their overall client profile and strategy. JSA's banking practice, especially out of Delhi, is not really modelled on those lines. So either they are confident they have the work or otherwise it will be interesting to see how DP's current practice fits in at the new firm. The logical place to base your banking practice is out of Mumbai. So interesting to see both partners sit out of Delhi.

Too much competition in the Banking market in Mumbai, porting two lateral hires isn't going to help. Okhla has next to no banking competition, and mandates within JSA are cannibalised with too many banking partners. Computes pretty well

Contributing factor could also be how JSA partnership is structured. They compete with each other the most rather than other firms. Better to get out and start afresh in another system where your legs are not getting cut off by people in your own 'team'.

That seems at odds with what is often repeated on here: that they evidently pay higher than other firms. Not doubting you as such (I've no data indicating either way, hence this question) but it would be good to know.
