SAM, Trilegal advise on $86m Gemini Edibles & Fats minority stake investment by food PE fund Black River

Black River Food 2 Pte Limited has bought a minority stake in Hyderabad-based edible oils and fats making and marketing company Gemini Edibles & Fats, through a combination of primary and secondary acquisition, with a deal value of RS 640 crores, according to a press release from Shardul Amarchand Mangaldas.

Shardul Amarchand Mangaldas acted for Gemini Edibles & Fats and the selling shareholders, with a team led by private equity partner Abhishek Guha, principal associate Ankit Kejriwal, associates Keegan Pavrey, Shambhavi Pandey and Richa Vatsa. Partner Abhay Sharma advised on direct tax issues.

Trilegal Mumbai acted as counsel to the Us-based investor, Black River Food 2, which specialises in food-industry-related buyouts in global emerging markets, while KPMG advised the fund on taxation.

Gemini’s existing investors include Golden Agri International India Holding, which is a subsidiary of Singapore-listed Golden Agri Resources, as well as Singapore’s Investment and Commercial Enterprises and the Chowdhry family.
